Remuneration of the President and CEO

Paolo Pompei started as the President and CEO of Nokian Tyres on January 1, 2025. His remuneration and key terms of employment are set out below.

Remuneration element

 

Base salary

EUR 820,000 per year, consisting of a monetary salary

Short-term incentive plan (performance bonus)

The purpose of the performance bonus is to reward the President and CEO for achieving the company's and personal annual targets. The maximum amount of the performance bonus is 100% of the President and CEO's annual base salary.

Long-term incentive plan

The President and CEO's long-term incentive plan is in line with the company's ordinary incentive plan and the related performance periods. The maximum amount of the performance-based LTI reward is limited to 250% of the President and CEO's annual base salary. More information about long-term incentive programs available here.

Signing Bonus

100,000 Nokian Tyres shares under the Restricted Share Plan (RSP) 2024–2026 with a performance period of three years.

Phone benefit

EUR 20 per month.

Share ownership requirement

The President and CEO must hold at least 25% of the shares received as rewards from the long-term incentive plans and collect shares from the incentive plans until the value of the shares received from the share plans is equal to the President and CEO's annual gross base salary.

Pension

In accordance with the Finnish statutory pension system.

Retirement age

The lowest possible retirement age is 65 years.

Dismissal

Either party can terminate with six months' notice. The President and CEO is entitled to severance pay if the company terminates the employment relationship or if he terminates the contract in the event of a change of control in the company. The amount of the severance pay corresponds to the President and CEO's gross annual base salary.
