President and CEO
The President and CEO conducts Nokian Tyres business and manages the company operations in accordance with the Finnish Limited Liability Companies Act and the instructions and guidelines provided by the Board of Directors. The President and CEO is responsible for informing the Board of Directors regarding the development of the company’s business and financial situation. The President and CEO prepares the Nokian Tyres' strategy and objectives for the Board, and is responsible for implementing the approved strategy and plans. The President and CEO is also responsible for ensuring the legal compliance of the company’s bookkeeping and for arranging reliable asset management. The President and CEO is elected by the Board of Directors.

Remuneration of President and CEO
The remuneration paid to the President and CEO is decided by the Board of Directors. The President and CEO is entitled to participate in Nokian Tyres’ short- and long-term incentive plans as determined by the Board of Directors.
Annual fixed salary: Annual gross base salary of EUR 820,000 including fringe benefits.
Short-term incentives (STI): Starting in 2025, the President and CEO's STI plan will adhere to the company’s standard STI plans. The maximum STI payout is 100% of the annual base salary.
Long-term incentives (LTI): Starting in 2025, the President and CEO's LTI plan will adhere to the company’s standard LTI plans and its associated performance periods. The maximum payout of performance-based LTI is 250% of the annual base salary of the President and CEO.
Signing Bonus: 100,000 shares of Nokian Tyres plc from Restricted Share Plan 2024–2026 with a performance period of 3 years.
Fringe benefits: The annual gross base salary includes all fringe benefits such as company car, housing and insurance.
Mobile phone benefit: Taxable benefit value is EUR 20 per month.
Pension: The retirement age and pension according to the Finnish statutory pension plan.
Employment terms of Paolo Pompei
Termination of assignment: By notice of 6 months by either party. The President and CEO is entitled to a severance pay in the amount equal to his annual gross base salary when terminated by the company or upon a change of control.
Share ownership guideline: The President and CEO is required to hold at least 25% of the shares received as rewards from the long-term incentive programs, and to accumulate the shares from the incentive programs until the value of the shares received from the share programs equals to the annual gross base salary of the President and CEO.
