Nokian Tyres plc – Payment of share-based rewards under Nokian Tyres’ long-term incentive plans

Nokian Tyres plc Stock Exchange Release February 10, 2026, at 1:25 p.m. 

Nokian Tyres' Board of Directors has decided the following regarding payment of share-based rewards under long-term incentive plans:

Performance Share Plan (PSP) 2023–2025

Under PSP 2023–2025, a total of 94,096 gross shares of the company will be granted without consideration to approximately 122 key employees in accordance with the terms and conditions of PSP 2023–2025. The shares have been acquired from the market on behalf of the recipients. The share rewards will be paid by March 31, 2026.

Nokian Tyres announced the main terms of PSP 2023–2025 in a stock exchange release on February 7, 2023.

Restricted Share Plan (RSP) 2023–2025

Under RSP 2023–2025, a total of 7,500 gross shares of the company will be granted without consideration to one key employee in accordance with the terms and conditions of RSP 2023–2025. The shares have been acquired from the market on behalf of the recipient, and their transfer will take place by March 31, 2025.

Nokian Tyres announced RSP 2023–2025 in a stock exchange release on February 7, 2023.

The total number of shares of the company will not change due to payments for share-based plans that ended in 2025.
